Terms of Service

Eligibility

You must be at least 18 years old and legally authorised to enter into contracts under applicable law. By using our platform, you represent and warrant that you meet these requirements and that all information you provide is accurate, complete, and lawful.

Services Overview

StratGrid provides global workforce solutions, including:

• Employer of Record (EOR) — compliant employment across India and 85+ countries
• Managed Services Provider (MSP) — end-to-end workforce and operational management
• Resource Augmentation — pre-vetted talent deployment within 14 days
• Compliance, payroll, onboarding, and HR support as an integrated service layer

All services are delivered through StratGrid Private Limited as the India-registered entity. International delivery may involve StratEdge Global LLC or other affiliates, subject to appropriate contractual and data protection safeguards.

Client Responsibilities

Clients engaging StratGrid agree to:

• Provide accurate, complete, and lawful information for onboarding and compliance
• Ensure roles and compensation comply with applicable labour laws in all relevant jurisdictions
• Not use our Services for any unlawful, discriminatory, or fraudulent purpose
• Cooperate with statutory compliance including PF, ESI, TDS, and other applicable filings
• Promptly notify StratGrid of changes affecting employment or compliance status of engaged resources

Data Protection

We process personal data in accordance with our Privacy Policy. By using our Services, you consent to the collection, use, and international transfer of data as described therein.

• Data may be processed in India, the United States, and other jurisdictions as required
• We use Standard Contractual Clauses and other legally recognised safeguards for cross-border transfers
• We comply with GDPR, CCPA, and India’s Digital Personal Data Protection Act, 2023 (DPDP Act)
• Employment-related data under EOR or MSP arrangements is handled per applicable laws

Intellectual Property

All content, trademarks, logos, and software on our platform are the property of StratGrid Private Limited or its licensors. You may not copy, modify, distribute, or reverse-engineer any part of our Services without prior written consent.

Work product created by resources deployed under EOR or resource augmentation arrangements is governed by IP assignment clauses in your service agreement, which transfer all such work product to you as the client company.

Payment Terms

Fees are outlined in your client agreement or onboarding proposal. Unless otherwise agreed in writing:

• Payments are due monthly, invoiced in USD, on Net 10 payment terms
• All invoices are issued by StratGrid Private Limited and are GST-compliant for Indian entities
• Late payments may incur interest at 1.5% per month or the maximum rate permitted by applicable law
• Persistent non-payment may result in suspension of Services
• All fees are exclusive of applicable taxes including GST, TDS, or withholding taxes

Termination

StratGrid may suspend or terminate access if you breach these Terms, fail to make payment, fail to cooperate with compliance obligations, or if we reasonably believe your use poses a risk to our platform, employees, or reputation.

You may terminate by providing written notice per the notice period in your service agreement. In the absence of a specific agreement, 30 days’ written notice is required. Upon termination, all outstanding fees become immediately payable and we will carry out required offboarding, final settlements, and statutory filings per applicable employment law.

Limitation of Liability

To the maximum extent permitted by applicable law, StratGrid shall not be liable for indirect, incidental, or consequential damages; loss of profits, data, or business opportunities; errors caused by third-party platforms; or losses arising from your failure to provide accurate compliance information.

Our total aggregate liability shall not exceed the total fees paid to StratGrid in the three (3) calendar months immediately preceding the event giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless StratGrid Private Limited and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of our Services, your breach of these Terms, your violation of applicable law, or any inaccurate information provided for onboarding or compliance purposes.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, specifically the laws of Karnataka, without regard to conflict of law principles. The courts of Bangalore, Karnataka shall have primary jurisdiction unless otherwise agreed in writing.

Dispute Resolution

In the event of a dispute, the parties shall first attempt resolution through good-faith negotiation within 30 days of written notice. If unresolved, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (India). Seat and venue: Bangalore, Karnataka. Language: English.

Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.

Changes to Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date and notify you by email where appropriate. Continued use of our Services after changes are posted constitutes acceptance of the revised Terms.
